Terms of Service

By engaging Cortara Labs for software development services, you agree to these terms which govern our professional relationship.

Services: We provide custom software development, web applications, mobile apps, cloud solutions, and technical consulting services.

Scope: All work will be defined in a separate statement of work (SOW) or project agreement that references these terms.

Professional Standards: We commit to delivering high-quality solutions using industry best practices and modern technologies.

Project-Based: For fixed-scope projects, payment schedules will be defined in the project agreement, typically with milestone-based payments.

Hourly Services: For ongoing or flexible-scope work, we bill monthly for hours worked at agreed-upon rates.

Payment Terms: Invoices are due within 30 days of receipt unless otherwise specified.

Late Payments: Late payments may incur interest charges and may result in suspension of services.

Expenses: Any project-related expenses will be pre-approved and billed separately.

Client IP: You retain ownership of your business logic, data, content, and any pre-existing intellectual property.

Custom Code: Upon full payment, you receive ownership of custom code developed specifically for your project.

Our Tools: We retain ownership of our proprietary development tools, frameworks, and methodologies.

Open Source: Any open-source components used are subject to their respective licenses.

Confidentiality: Both parties agree to maintain confidentiality of proprietary information shared during the project.

Service Warranty: We warrant that our services will be performed with professional skill and care consistent with industry standards.

Code Quality: We provide a 90-day warranty on delivered code for defects in workmanship.

Limitation of Liability: Our liability is limited to the amount paid for the specific service that gave rise to the claim.

Third-Party Services: We are not responsible for third-party services, APIs, or platforms beyond our control.

Data Backup: While we implement best practices, you are responsible for maintaining backups of your data.

Project Completion: Services conclude upon successful delivery and acceptance of project deliverables.

Early Termination: Either party may terminate with 30 days written notice. You will be billed for work completed to date.

Immediate Termination: Either party may terminate immediately for material breach of these terms.

Post-Termination: Confidentiality obligations and intellectual property rights survive termination.
